Neoffice Terms and Conditions

Last updated: 14 October 2026

1. Purpose, parties and acceptance

These Terms and Conditions (the "Terms") govern access to and use of the Neoffice platform, a cloud-hosted business management software (ERP) published and operated by Neoservice (Switzerland). Neoservice's full company name appears on its invoices.

Neoffice is intended for professional customers (companies, self-employed persons, associations, public bodies). By subscribing to Neoffice, activating a trial, ticking the acceptance box or using the service, you declare that you are acting for professional purposes and acknowledge that you have read, understood and accepted these Terms, which form a legally binding agreement between you (the "Customer") and Neoservice.

2. Description of the service

Neoffice is an all-in-one cloud ERP platform intended for SMEs, covering in particular invoicing (Swiss QR-bill), accounting, CRM, sales, purchasing, inventory management, point of sale, project management, human resources, helpdesk, the Nora AI assistant, document management and a mobile app. The precise functional scope depends on the plan subscribed to.

Each Customer has a dedicated instance (virtual private server) hosted in Switzerland; depending on the plan subscribed to, it may be an isolated space on a shared server. Neoservice hosts, operates, updates and secures the platform; the Customer uses it for their own needs.

Neoffice is a management tool. It does not replace the advice of a fiduciary firm, nor legal, tax or human resources advice, and on its own it does not guarantee that the Customer's accounting, VAT, payroll or other legal obligations are compliant. Features identified as experimental or in beta are provided without warranty.

3. Free trial

Neoffice may be offered with a free trial period of 7 days, with no commitment and no credit card. At the end of the trial, access ends automatically unless a subscription is taken out. Neoservice reserves the right to limit or refuse access to the trial in the event of abusive use.

4. Subscription, pricing and billing

The standard subscription is billed at CHF 149.- per user per month (monthly plan) or CHF 1'490.- per user per year (annual plan, two months free). Additional storage is billed at CHF 1.- per GB per month. Prices are exclusive of VAT, unless stated otherwise.

Billing takes place in advance for each period, and invoices are payable within the period they state. Failure to pay or late payment may result in suspension of access to the service after a formal notice has remained without effect. Neoservice may adjust its prices: any change is communicated to the Customer at least 30 days before it takes effect, and a Customer who rejects it may terminate with effect at the end of the current period (Article 5).

5. Term, renewal and termination

The subscription is entered into for the duration of the chosen period (monthly or annual) and is renewed automatically for successive periods. The Customer may terminate at any time with effect at the end of the current period, from their account or by contacting Neoservice.

Neoservice may terminate the subscription with effect at the end of the current period, on 30 days' notice, and with immediate effect in the event of a serious breach of these Terms, unlawful use of the service or persistent failure to pay after formal notice.

At the end of the contract, the Customer may export their data for at least 30 days; the data is then permanently deleted, including from backups at the end of their normal retention cycle.

6. Hosting, security and shared responsibilities

Hosting. The Customer's data is hosted in Switzerland (Infomaniak Public Cloud). Certain features that the Customer chooses to activate (e-mail sending, mobile app notifications, SMS, payment, messaging, artificial intelligence) involve service providers that may be located outside Switzerland: they appear on the list in Article 8.

Security. Neoservice implements appropriate technical and organisational measures to protect the data. These include in particular: encryption of communications (TLS); strictly controlled operational access to servers (key-based authentication, access limited to authorised persons); continuous server monitoring, with alerts; security updates to the system and the platform, rolled out in stages, first on a pilot server; encrypted off-site backups (Article 7); role-based access rights within the Customer's instance. Neoservice may adapt these measures, without reducing the overall level of protection.

Shared responsibilities. The security of the instance is shared. The Customer creates and removes their users and assigns them appropriate rights; keeps their credentials secret and enables two-factor authentication where it is offered to them; protects their own devices and network; reports to Neoservice without delay any suspected compromise; and ensures that their users comply with these Terms.

Incident. If Neoservice identifies a security incident affecting the Customer's data, it informs the Customer of this as soon as possible, so that the Customer can fulfil their own notification obligations.

7. Backups and data export

Neoservice regularly backs up the data of the Customer's instance, as a rule every night, off-site and in encrypted form, in order to restore the service after a failure or disaster. On request, Neoservice may restore a backup; the costs of a restoration made necessary by an error on the part of the Customer may be invoiced to the Customer.

These backups serve to resume the service: they do not constitute a legal archive and do not relieve the Customer of their own retention obligations. The Customer may export their data at any time from the platform; they keep, outside Neoffice, the documents that the law requires them to keep (in particular accounting books and supporting documents, for ten years under Art. 958f of the Swiss Code of Obligations (CO)).

8. Data protection (data processing agreement)

For the personal data that the Customer processes in Neoffice, the Customer is the controller and Neoservice acts as a processor (Art. 9 revFADP, Art. 28 GDPR). This Article constitutes the data processing agreement between the parties.

  • Subject matter and duration. Providing the service described in Article 2, for the duration of the contract. The data processed consists of the data that the Customer and their users enter or import (for example data on customers, suppliers or employees); the data subjects are the persons whose data the Customer processes.
  • Instructions. Neoservice processes the data solely on the Customer's documented instructions, namely these Terms and the Customer's use of the service, and in order to provide, secure and maintain the service. It informs the Customer if it considers that an instruction violates the law.
  • Confidentiality. Persons authorised to process the data are bound by confidentiality.
  • Security. The measures in Article 6 apply.
  • Sub-processors. The Customer authorises Neoservice to engage sub-processors, subject to equivalent obligations. The list, kept up to date, is published at neoffice.ch/en/sous-traitants. Neoservice informs the Customer of any significant change; the Customer may object to it on legitimate grounds and, failing agreement, terminate the contract.
  • Transfers abroad. Neoservice ensures that any transfer outside Switzerland benefits from a safeguard provided for by law (country recognised as adequate, standard contractual clauses, data protection framework applicable to the United States).
  • Assistance. Neoservice assists the Customer, to a reasonable extent, in responding to requests from data subjects and in fulfilling their own obligations (data protection impact assessment, notification of a breach).
  • Data security breach. Neoservice informs the Customer as soon as possible, as provided in Article 6.
  • End of the contract. The data is returned and then deleted, as provided in Article 5.
  • Verification. Neoservice makes available to the Customer the information necessary to demonstrate compliance with this Article and permits reasonable audits, announced in advance and at the Customer's expense.

Neoservice does not sell or transfer the Customer's data to third parties.

9. Availability, maintenance and support

Neoservice strives to ensure high availability of the service but does not guarantee uninterrupted or error-free access. Planned maintenance operations may cause temporary interruptions, announced in advance where possible. To correct a security flaw without delay, Neoservice may intervene without prior notice; in that case it limits the interruption to what is strictly necessary.

Support is provided on business days, through the channels indicated in the plan subscribed to, without any guaranteed response time. Neoservice is not liable for interruptions attributable to third-party services, to the Customer's network or devices, or to events of force majeure.

10. Third-party services

Neoffice may connect to third-party services (payment, banking, e-mail sending, SMS, messaging, postal services, artificial intelligence, payroll declarations by a certified partner). These services have their own terms: by activating them, the Customer accepts those terms. Their availability, prices and results are the responsibility of their provider; Neoservice is not liable for them, to the extent permitted by law.

11. AI assistant (Nora)

Responses from the Nora AI assistant are generated automatically: they may be inaccurate or incomplete. The user verifies them before validating a document, a payment, a transmission or a decision. The Customer remains responsible for actions carried out by their users, including those they ask Nora to carry out.

12. Customer obligations and suspension

The Customer undertakes to use the service lawfully and in accordance with these Terms, to keep their credentials confidential, not to attempt to access the systems without authorisation, not to disrupt the service, and to ensure that the content they process is lawful and that they hold the necessary rights. The Customer is responsible for the activity of their users and of the persons to whom they give access, for example their fiduciary or their advisers. The Customer indemnifies Neoservice against third-party claims arising from content the Customer has processed or from use contrary to these Terms.

Neoservice may suspend without delay access that has been compromised or content that is manifestly unlawful, and informs the Customer as soon as possible. The suspension ends when the cause has been removed.

13. Intellectual property

The Neoffice platform, its code, its brand and its design elements remain the exclusive property of Neoservice and/or its licensors. The subscription grants the Customer a non-exclusive, non-transferable right of use for the duration of the subscription. The data and content entered by the Customer remain their property; the Customer authorises Neoservice to host and process them solely for the purposes of the service.

14. Warranty and liability

Neoservice provides the service with the care customary in the profession. The service is provided "as is": Neoservice does not warrant that it is free from errors or interruptions, nor that it is suitable for a particular need of the Customer. In the event of a defect attributable to it, Neoservice strives to correct it within a reasonable period; this is, to the extent permitted by law, the Customer's sole remedy under warranty. The Customer reports any defect or damage without delay and takes reasonable measures to limit its effects.

To the extent permitted by law, Neoservice is not liable: for indirect, incidental or consequential damages; for lost profit, unrealised savings, loss of customers or reputation, and business interruption; for the loss or alteration of data that the Customer could have avoided through regular exports; for damage caused by a third-party service, by a failure of the Customer's network or devices, by use contrary to these Terms or by the Customer's failure to comply with their obligations (Article 6); for access by a third party using the Customer's credentials; for the acts of its subcontractors, except to the extent required by law.

Neoservice's total liability, on any grounds, is limited to the amount paid by the Customer for the service during the last twelve months. No limitation or exclusion applies in the case of wilful misconduct or gross negligence, nor for personal injury, nor where the law prohibits it.

15. Force majeure

Neither party is liable for a delay or non-performance caused by an event beyond its reasonable control: natural disaster, fire, war, strike, decision of an authority, power or network outage, failure of an infrastructure provider, or cyber-attack despite security measures in line with Article 6. The affected party informs the other party without delay.

16. Assignment and subcontracting

Neoservice may entrust all or part of the performance of the service to subcontractors (Article 8). It may transfer the contract, together with its rights and obligations, to a company that takes over its business activity, after informing the Customer of it. The Customer may not assign the contract without Neoservice's written consent.

17. Amendment of the Terms

Neoservice may amend these Terms. It informs the Customer of material amendments in writing (by e-mail or by a message within the platform, including a request for confirmation to the account administrator) at least 30 days before they take effect. A Customer who rejects them may terminate the subscription with effect at the end of the current period; otherwise, continued use of the service after they take effect constitutes acceptance.

18. Final provisions

If a provision of these Terms is void or unenforceable, the other provisions remain valid and the provision concerned is replaced by the provision that comes closest to it. The Terms are published in French, English and German; in the event of any discrepancy, the French version prevails.

These Terms are governed by Swiss law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any dispute relating to their validity, interpretation or performance is subject to the exclusive jurisdiction of the courts of the place of Neoservice's registered office (currently the Canton of Vaud), subject to an appeal to the Swiss Federal Supreme Court and to mandatory places of jurisdiction.
